4. Liability Limitations

inboxperfomance shall not be held liable for any direct, indirect, incidental, or consequential damages resulting from system interruptions, deliverability fluctuations, sender reputation changes, or external infrastructure dependencies. This includes, but is not limited to, issues arising from internet service providers, hosting environments, mailbox providers, or third-party security filters beyond our operational control.

Our total liability for any claim arising out of or relating to our services shall not exceed the total fees paid by the client during the twelve months preceding the claim. This limitation applies regardless of the legal theory under which the claim is asserted, including contract, tort, negligence, or statutory violation.

5. Client Responsibilities

Clients are responsible for maintaining the security of their own infrastructure credentials, email authentication records, and domain management access. We provide recommendations and configuration guidance, but final implementation and ongoing maintenance of DNS records, authentication protocols, and sending infrastructure remain the responsibility of the client.

Clients must ensure that all email sending practices comply with applicable laws including CAN-SPAM, GDPR, CASL, and other regional regulations. We provide guidance on compliance best practices but do not assume legal responsibility for client communications. Any misuse of recommended configurations or deviation from advised operational frameworks is undertaken at the client's own risk.

6. Intellectual Property Protection

All proprietary materials presented within this platform—including code structures, interface layouts, written documentation, technical methodologies, performance frameworks, research findings, and visual assets—are the intellectual property of inboxperfomance unless explicitly stated otherwise. Unauthorized reproduction, redistribution, scraping, reverse engineering, or replication of any system logic, presentation structure, or content architecture is strictly prohibited.

Clients retain ownership of their own content, campaign materials, and subscriber data. However, any derived insights, performance analysis, or strategic recommendations developed during engagements remain the intellectual property of inboxperfomance, subject to client usage rights as defined in individual engagement agreements.

7. Termination of Services

inboxperfomance reserves the right to suspend or terminate access to services, consultations, or system recommendations in cases of misuse, violation of these terms, non-payment of fees, or operational risk exposure. We also reserve the right to refuse service to organizations whose practices conflict with our ethical standards or infrastructure integrity principles.

Upon termination, clients will receive reasonable transition support to ensure continuity of operations, including access to existing documentation and assistance migrating to alternative service providers if needed. No refunds will be issued for partial service periods unless termination occurs due to error or fault on our part.

8. Dispute Resolution & Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms or our services shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.

Each party waives the right to participate in class-action litigation or class-wide arbitration.
